This Customer Agreement ("Agreement") is a contract between you ("Customer") and WholesaleVIP.com and applies to all your purchases of WholesaleVIP.com's products.  You must read, agree with, and accept all of the terms and conditions contained in this Agreement before you may become a customer of WholesaleVIP.com.

In this Agreement, "you" or "your" means any person or entity using the Service ("Customers"). Unless otherwise stated, " WholesaleVIP," "we" or "our" will refer collectively to WholesaleVIP.com

USE OF SITE

You represent and warrant that you are at least 18 years old or visiting the Site under the supervision of a parent or guardian. Subject to the terms and conditions of this Agreement, WholesaleVip.com hereby grants you limited, revocable, non-transferable, and non-exclusive license to access and use of the Site for the purpose of shopping for personal items sold on the Site and not for any commercial use or use on behalf of any third party, except as explicitly permitted by WholesaleVip.com in advance. Any breach of this Agreement shall result in the immediate termination of the license granted in this paragraph without notice to you.

INTELLECTUAL PROPERTY

All text, graphics, button icons, images ( "Content"), belongs exclusively to WholesaleVip.com or its content suppliers. The collection, arrangement, and assembly of all content on this Site (the "Compilation") belong exclusively to WholesaleVip.com. The Content and the Compilation are all protected by U.S. and international copyright laws. Other logos, slogans, trade names or words are registered trademarks, trademarks, or service marks of WholesaleVip.com, its suppliers, or third parties. The use of any WholesaleVip.com trademark or service mark without WholesaleVip.com 's expressly written consent is strictly prohibited. You may not use WholesaleVip.com's trademarks or service marks in any manner that disparages or discredits WholesaleVip.com.

TERMINATION

In addition to any other legal or equitable remedies, WholesaleVip.com may, without prior notice to you, immediately terminate the Agreement or revoke any or all of your rights granted under this Agreement. Upon any termination of this Agreement, you shall immediately cease all access to and use of the Site and WholesaleVip.com shall, in addition to any other legal or equitable remedies, immediately revoke all password(s), and account identification issued to you and deny your access to and use of this Site in whole or in part. Any termination of this Agreement shall not affect the respective rights and obligations (including without limitation, payment obligations) of the parties arising before the date of termination.

TYPOGRAPHICAL ERRORS

While WholesaleVip.com strives to provide accurate product and pricing information, pricing or typographical errors may occur.  In the event that an item is listed at an incorrect price or with incorrect information due to an error in pricing or product information, WholesaleVip.com shall have the right, at our sole discretion, to refuse or cancel any orders placed for that item. In the event that an item is priced incorrectly, WholesaleVip.com may, at our sole discretion, either contact you for instructions or cancel your order and notify you of such cancellation.

DISCLAIMER

NOTE: Certain mobile phone features are dependent on the capabilities and settings of your service provider's network and your network service plan. Additionally, certain features may not be activated by your service provider, and/or their network settings may limit the feature's functionality. Always contact your service provider about feature availability and functionality. All features, functionality and other product specifications are based upon the latest available information and are believed to be accurate; however such product specifications are subject to change without notice or obligation.

ORDER ACCEPTANCE

Please note that there may be certain orders that we are unable to accept and must cancel. WholesaleVip.com reserves the right, at its sole discretion, to refuse or cancel any order for any reason. Some situations that may result in your order being cancelled include, but are not limited to,  limitations on quantities available for purchase, inaccuracies or errors in product or pricing information, or problems identified by our credit and fraud avoidance department. We may also require additional verifications or information before accepting any order, as a photocopy of your Driver's License and front and back copies of your credit card.  WholesaleVIP.com retains the right, to protect itself and to request a bank wire or a cashier's check for all orders over $1500.00 at any time and for any reason; to prevent credit card fraud. We will contact you if all or any portion of your order is cancelled or if additional information is required to accept your order.

Legal Disputes

In the event any dispute arises between you and WholesaleVIP.com in relation to this Agreement or any transaction relating thereto, all claims or actions, whether judicial or administrative must be made in the Los Angeles County, State of California. You hereby expressly agree to submit to jurisdiction of the appropriate Los Angeles County court. If further agree that any claim or action against WholesaleVIP.com may be prosecuted solely and exclusively in the County of Los Angeles, State of California.  In case of any collection activity, dispute, litigation, claim, or action arising in relation to this Agreement, the prevailing party shall be entitled to compensation of reasonable attorney fees and costs of enforcement.
